These Terms of Service define the conditions for using Verid, including user responsibilities, acceptable use, data ownership, payments, and limitations of liability. By using the platform, you agree to comply with these terms and the proper use of AI-generated responses.

By accessing or using Verid (“the Service”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.

1. Description of the Service

Verid is an embeddable AI chatbot platform that uses Retrieval-Augmented Generation (RAG) to generate responses based on user-provided data, including documents, URLs, text, and FAQs. The Service is designed to help organizations deliver contextual and automated AI-powered responses.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. By using Verid, you represent and warrant that you meet these requirements.

3. Accounts, Access & Roles

When using Verid, you agree that:

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities performed under your account
  • Role-based access control (including admin and tester roles) governs feature access
  • You will not share account access or misuse assigned roles
  • Accounts violating these terms may be suspended or terminated

4. Acceptable Use Policy

You agree not to use the Service to:

  • Upload or distribute illegal, harmful, abusive, defamatory, or infringing content
  • Upload content you do not have the legal right to use
  • Bypass security controls or access restricted systems
  • Abuse system resources, including excessive or automated requests
  • Reverse-engineer, decompile, or attempt to extract source code or models
  • Generate unlawful, misleading, deceptive, or fraudulent content

Violation of this policy may result in immediate suspension or termination.

5. AI Output Disclaimer

You acknowledge and agree that:

  • AI-generated responses may be inaccurate, incomplete, or outdated
  • Outputs are provided “as-is” without warranties of any kind
  • Verid does not guarantee correctness, reliability, or suitability of outputs
  • AI responses must not be relied upon for legal, medical, financial, or professional advice
  • You are solely responsible for validating and using AI-generated content

6. Data Ownership & License

You retain full ownership of all content you upload to the Service.

By using Verid, you grant us a limited, non-exclusive, non-transferable license to process your data solely for:

  • Providing and operating the Service
  • Generating chatbot responses
  • Maintaining and improving platform functionality

We do not sell your data or use it to train public AI models.

7. Payments, Subscriptions & Billing

If you subscribe to a paid plan:

  • Subscriptions are billed on a recurring basis (monthly or annually)
  • Fees are non-refundable unless required by law
  • Failure to pay may result in suspension or termination
  • Pricing may change with prior notice

8. Third-Party Services

Verid may rely on third-party services for:

  • AI model inference
  • Analytics and monitoring
  • Payment processing
  • Infrastructure and hosting

Third-party services are governed by their own terms and policies, and Verid is not responsible for their actions or availability.

9. Suspension & Termination

We may suspend or terminate your access, with or without notice, if:

  • You violate these Terms of Service
  • Your use poses a security or legal risk
  • Suspension or termination is required by law or regulation

Upon termination, your right to use the Service immediately ceases.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Verid is not liable for indirect, incidental, special, or consequential damages
  • Total liability shall not exceed the amount paid by you in the preceding 12 months

11. Disclaimer of Warranties

The Service is provided on an “as-is” and “as-available” basis, without warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by applicable laws, without regard to conflict of law principles.

14. Refund Policy

Verid follows a fair-use refund policy for paid subscriptions.

You acknowledge and agree that:

  • If more than 50% of allocated credits have been used, no refund will be issued
  • If more than 50% of the current billing cycle has elapsed, no refund will be issued
  • Refund requests made after significant usage or partial consumption of services are not eligible
